Naschitz Brandes Amir Lawyers Successfully Conclude Complex, Multi-Party Mediation

Partner Shlomo Cohen, Head of the Mediation Practice, together with associate Maya Nir Manor, successfully concluded a complex, multi-party mediation following an appointment by the Economic Division of the Tel Aviv District Court, presided over by the Honorable Judge Yaacov Sharvit.

 

The matter involved a dispute between a group of private shareholders and a large public company, centering on disagreements over the valuation of a leading technology company. The proceedings addressed claims relating to share conversion undertakings, contested company valuations alleged to be in the tens of millions of shekels, non-payment for services, as well as broader issues of corporate governance, fiduciary duties of controlling shareholders, and fairness toward minority shareholders.

 

Following an intensive mediation process, the parties, with the assistance of the mediators and their respective counsel, reached a creative, efficient, and commercially sound settlement. The agreed resolution brings the dispute to a consensual close while also enabling the parties to expand the pie and pursue opportunities for mutual value creation going forward.
